Business Technology, Contracts and Compliance Manager

Key Role Responsibilities:

Grant Thornton’s Business Technology team is looking for a Contract and Compliance Manager that will be responsible for the negotiation of complex Outsourcing Managed Service Provider (MSP) Agreements and IT Supplier Contracts. Reviewing a wide range of technology related Outsourcing Agreements, IT Supplier Contracts, Statements of Work (SOWs), Work Orders (WOs) and Change Orders (COs) including the most difficult and unique; and coordinates with business and operational stakeholders to submit, review and approve SOWs, WOs, COs and ensures project scope, business requirements, acceptance criteria, project milestones, etc. are in alignment with business needs. Facilitates the contract interpretation process and consults with the respective commercial teams and legal counsel to assist with contract interpretations of commercial matters.

Essential Duties Responsibilities:

Contract and Compliance Management

Responsible for review and acceptance of contractual related SOWs, WOs, and COs and ensures MSPs / IT Supplier implementation of project activities; also facilitates and resolves project related commercial issues.
Accountable for effectively monitoring the performance of awarded IT contracts and outsourcing agreements, working collaboratively with key stakeholders in ensure contracts are executed in adherence to terms and conditions, and meet all technical and quality standards.
Works with MSPs / IT Suppliers in addressing concerns, issues and problems with the execution of contracts and resolving conflict concerning unacceptable goods, materials and services.
Support the implementation and ongoing management of contract and compliance management governance program processes, capabilities and tools.
Establishes and maintains mechanisms to track completion or adherence to all contract deliverables and obligations – both MSP / IT Supplier and GT obligations.
Supports the applicable stakeholders in the resolution or escalation of contract and compliance related issues which arise. Facilitates the resolution of contract related interpretations and escalates to the Commercial Director, as required.
Works with the applicable organizations to ensure the MPSs and IT Suppliers are aware of and are in compliance with their agreements and applicable policies, procedures, laws and regulations.
Review and negotiate contracts while proactively identifying opportunities and risks.
Manages periodic (internal and external) audits and MSP / Supplier activities to ensure compliance to contracts and policies; works with applicable MSP Vendor Manager and IT Supplier Manager on root cause analysis of problem areas.
Negotiations of software licensing agreements, including coordination with operational and supplier stakeholders to ensure software compliance with software supplier obligations.
Contract Administration

Manages the Contract Change Management process and maintains contract currency of the official copies of the agreements, contracts and associated exhibits, schedules, appendices, etc. on technology portals and tools.
Maintains records of all formal, contract-related correspondence between GT and MSPs and IT Suppliers.
Participates and works with cross-functional teams in the negotiation and awarding of contracts, ensuring proper mechanisms are in place to monitor and evaluate MSPs and IT Suppliers and oversight of contract performance over the life of the contract.
Manages relations with MSPs and IT Suppliers to ensure compliance with contracts and procurement policies and applicable state and federal procurement regulations.
Provides key stakeholders with reports regarding overall performance of individual contracts and makes recommendations for future contracts and their implementation.

Qualifications

Bachelor Degree in Business, Legal, Technology or equivalent business experience
Minimum of 8-10 years of experience in working with technology based MSP outsourcing agreements; client facing experience highly desirable.
5+ years’ experience working in IT and within a contract/compliance management function
Legal experience in IT outsourcing/managed services environment is required
Some supervisory experience highly desirable
Demonstrated knowledge of and skills in managing complex outsourcing agreements, contract negotiation, contract compliance and contract administration.
Must possess an excellent command of the English language including excellent reading comprehension
Advanced level skill in Microsoft Office products, including Word, Excel, PowerPoint and Outlook Desirable Characteristics
Knowledge of best practices in IT contract management and managed services governance
Experience in managing legal documents
Background and experience in negotiating software license agreements & licensing models
Must be detail and process oriented with strong organizational skills (i.e. records management)
Knowledge compliance/recordkeeping technologies
Excellent verbal and interpersonal communication skills
Strong writing, analytical, and problem solving skills
Ability to interpret and apply contractual requirements
Ability to work independently as well as in a team environment
Ability to manage multiple priorities
